Client Responsibilities
As a client of Rainverse Technologies, you agree to:
- Provide accurate, complete, and timely information required for project delivery
- Ensure you have the legal right to use any data, content, or materials provided to Rainverse
- Maintain the security of your account credentials and notify us immediately of any unauthorized access
- Comply with all applicable laws and regulations in your jurisdiction
- Provide feedback and approvals within reasonable timeframes to avoid project delays
- Not use our services for any illegal, harmful, or unauthorized purposes
Payment Terms
Fee Structure:
Rainverse offers flexible pricing models including:
• Fixed-price projects with clearly defined deliverables
• Time and materials billing for ongoing development
• Retainer agreements for continuous support
• Milestone-based payments for large-scale projects
Payment Terms:
- Payment terms are specified in individual project agreements or statements of work
- Typical payment schedules include 30-50% upfront payment
- Final payment is due upon project completion and client acceptance
- Late payments may incur interest at 1.5% per month or the maximum legal rate
- All prices are quoted in the agreed currency and exclude applicable taxes
Intellectual Property Rights
Client Ownership:
Upon full payment, clients typically own:

• Final deliverables and project materials
• Custom designs and user interfaces created specifically for the client
• Documentation and training materials
Rainverse Retained Rights:
Rainverse retains rights to:
• Pre-existing tools, frameworks, and intellectual property

• Reusable components and libraries developed for multiple clients
• The right to use anonymized project data for portfolio and marketing purposes
Third-Party Components:
Certain projects may incorporate third-party software, APIs, or open-source components. Clients are responsible for:
• Complying with third-party license requirements
• Obtaining necessary licenses and subscriptions
• Managing ongoing maintenance and updates
Confidentiality and Data Protection
Confidential Information:
Both parties agree to maintain the confidentiality of:
• Business strategies, plans, and proprietary information
• Technical specifications, source code, and architectural designs
• Customer data and personal information
• Financial information and contract terms
• Any information marked as confidential or that should reasonably be understood as confidential
Private AI Infrastructure Commitment:
Rainverse operates private AI infrastructure to protect client data:
• All AI processing occurs within our secure, on-premise infrastructure
• No client data is shared with external AI service providers
• Complete isolation from public AI ecosystems
• No third-party AI analytics or telemetry
Strategic Partnership with Kodspider Technologies:
Data sharing with our strategic partner follows strict protocols:
• Need-to-know basis for project execution only
• Client consent obtained before any data sharing
• All data remains within our private infrastructure ecosystem
• Comprehensive confidentiality agreements in place
Service Level Agreements
Support Services:
Support levels and response times vary by service tier:
• Emergency Support: 2-4 hour response time (24/7 availability)
• Priority Support: 8-hour business day response
• Standard Support: 24-hour business day response
• Maintenance Updates: Scheduled and communicated in advance
Uptime and Availability:

Warranty and Disclaimer

Limitations:
Our warranties do not cover:
• Issues caused by client modifications or third-party integrations

• Errors in client-provided data or specifications
• Force majeure events beyond our reasonable control
Disclaimer:
Except as expressly stated in these Terms, we make no warranties or representations, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
Cap on Liability:
Our total liability for any claims arising from our services shall not exceed:
• The total fees paid by the client for the specific service in question
• For ongoing services, the fees paid in the preceding 12 months
Excluded Damages:
We shall not be liable for:
• Indirect, incidental, special, or consequential damages
• Lost profits, revenue, or business opportunities
• Data loss or corruption beyond our reasonable control
• Downtime or service interruptions
Force Majeure:
We are not liable for failures or delays caused by events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government actions, or internet infrastructure failures.
Termination
Termination by Client:
Clients may terminate services by:
• Providing 30 days written notice for ongoing services
• Paying all fees due up to the effective termination date
• Completing any pending payment obligations
Termination by Rainverse:
We may terminate services if:
• Client breaches these Terms and fails to cure within 15 days
• Client engages in illegal or harmful activities
• Payment is significantly overdue
• Continued service becomes impractical or illegal
Effect of Termination:
Upon termination, parties agree to:
• Return confidential information and materials
• Final payment for all work completed to date
• Transfer of deliverables as specified in the agreement
• Preservation of rights and obligations that survive termination
Indemnification
Clients agree to indemnify and hold Rainverse harmless from any claims, damages, or expenses arising from:
- Client's breach of these Terms
- Client's use of our services
- Violation of third-party rights by client-provided content
- Any illegal activities conducted by the client
Dispute Resolution
Governing Law:
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Jurisdiction:
Any disputes arising from these Terms shall be resolved in the courts of Mumbai, India.
Alternative Dispute Resolution:
Before pursuing legal action, parties agree to attempt good-faith mediation through a mutually agreed mediator in Mumbai.
General Provisions
Entire Agreement:
These Terms, along with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior discussions and understandings.
Severability:
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver:
Failure to enforce any provision of these Terms shall not be construed as a waiver of any future enforcement of that or any other provision.
